Report from ICA Gruppen’s annual general meeting 2026

ICA Gruppen Aktiebolag (publ) ("ICA Gruppen" or the "Company") has today, 6 May 2026, held its

annual general meeting.

ICA Gruppen’s annual general meeting resolved, among other things, to adopt the income statement

and the balance sheet as well as the consolidated income statement and the consolidated balance

sheet and to discharge the members of ICA Gruppen’s board of directors and the CEO from liability for

the financial year 2025.
 

ICA Gruppen’s annual general meeting also resolved on a total dividend of SEK 1,097,793,689, of which

SEK 3.12 per class A share, corresponding to a total of SEK 399,999,999, and SEK 27.99 per class E share,

corresponding to a total of SEK 524,187,835, and SEK 50.19 per class F share, corresponding to a total

of SEK 173,605,855. The record date for the dividend was set to Friday 8 May 2026.
 

The Annual General Meeting resolved on the election of Claes Seldeby as a new board member and

the re-election of the board members Jan Amethier, Göran Blomberg, Bengt Kjell, Mikael Norling,

Fredrik Persson, Katarina Romberg, Charlotte Svensson and Anette Wiotti. Magnus Moberg was re-

elected as Chairman of the Board of ICA Gruppen. The registered accounting firm KPMG AB was re-

elected as auditor. KPMG AB has informed that the authorised public accountant Christel Caldefors will

be the auditor in charge.
 

ICA Gruppen’s annual general meeting also resolved that remuneration to the board of directors shall

be paid in a total amount of SEK 6,120,000, of which SEK 1,360,000 shall be paid to the chairman of the

board of directors and SEK 680,000 to each of the other members elected by the annual general

meeting, and that SEK 1,310,000 shall be reserved for committee work. Fees to the auditor shall be

paid in accordance with approved invoice.
 

The general meeting resolved to amend the articles of association regarding the procedure for

convening general meetings.
